Module overview

The course explores legal concepts in corporate law, and the wider debates and concerns surrounding them.  It analyses the impact of reforms under the UK Companies Act 2006, and promotes discussion of the policy approach to corporate law prevailing in the UK and a number of other jurisdictions.  Key elements include an analysis of the scope of limited liability and modern debates surrounding this concept and the capitalisation of the company; the regulation of relationships between members of the company inter se, and between the company, its owners and managers; and the principles and policies relevant to the protection of investors, shareholders and the company.

Methods of Teaching / Learning

The learning and teaching strategy is designed to be student-led with the module convenor acting as a facilitator of discussions. Seminars are designed to be interactive so as to promote student-centred learning. Thus, students will be expected to have researched topic areas and to apply that research when discussing key issues and developments. Students will also be asked to prepare presentations on particular topics at the sessions. The critical ability of students in understanding and discussing key issues will be encouraged and fostered.

The teaching and learning strategy is accordingly designed to promote skills in critical analysis. It is also designed to stimulate independent and private study using a variety of primary and secondary sources so as to develop an acute understanding of the subject.

The learning and teaching methods include 2 hour weekly seminars x 11 weeks.

Assessment Strategy

The assessment strategy is designed to provide students with the opportunity to demonstrate their conceptual and critical understanding of the subject, through their mastery of core principles and authorities, evaluation of relevant law and policy, development of research capabilities, and construction of independent arguments.

Thus, the summative assessment for this module consists of:


1 x 3,000 words coursework assessment, due end of Semester 1 (January)


Formative assessment and feedback

Students will receive feedback on their performance during the module through verbal feedback in seminars, individual consultation with the module convenor and formative coursework exercise undertaken during the teaching term.
